Agreement and Scope
These Terms of Use govern access to Structivance public pages, business communications, discovery, compatibility verification, documentation, credentials, and approved services.
By accessing or using Structivance, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent.
A separate written agreement, approved order, or access authorization may impose additional terms. If a signed agreement conflicts with these Terms, the signed agreement controls for the applicable service.
Business and Institutional Use
Structivance is intended for organizations and their authorized representatives acting for business or institutional purposes. It is not offered for personal, family, or household use.
You represent that you have authority to act for the organization associated with your inquiry, credentials, or approved account.
Discovery and Compatibility Verification
Discovery and compatibility verification may be provided without charge. They do not include free execution, production access, service credits, or authorization to use protected systems.
Production access is available only after approval, authorization, and completion of any required commercial or technical onboarding.
Approved Access and Credentials
Access to protected Structivance services requires prior approval and valid authorization. Credentials are issued for the approved organization and permitted software connection only.
You must protect all credentials, access keys, and authorization materials from unauthorized use. You must promptly notify Structivance if credentials are lost, disclosed, compromised, or used without permission.
Structivance may deny, suspend, rotate, or revoke access when necessary to protect systems, investigate misuse, enforce these Terms, or meet legal or contractual obligations.
Prepaid Credits
Approved production use requires prepaid credits unless a separate written agreement states otherwise. Credits are not a bank account, stored-value account, security, currency, or transferable financial instrument.
Credits may be used only by the approved customer account for authorized Structivance services. Credits may not be resold, transferred, pledged, exchanged, or combined with another account without written approval.
A request may be denied when the applicable account has insufficient credits, invalid authorization, or fails required security or compatibility checks.
Permitted Use and Restrictions
You may use approved services only for lawful internal business purposes and within the scope of your authorization and applicable agreement.
You may not attempt to bypass access controls, obtain unauthorized access, interfere with service operation, probe protected systems, introduce malicious code, misuse credentials, conceal the origin of requests, or use Structivance to violate applicable law or third-party rights.
You may not reverse engineer, extract, reproduce, disclose, or attempt to discover protected methods, system logic, confidential documentation, or nonpublic technical materials except where expressly authorized in writing.
Service Operation and Changes
Structivance may maintain, modify, update, restrict, suspend, or discontinue features or access when reasonably necessary for security, legal compliance, system integrity, maintenance, or business operations.
Except where a separate signed agreement expressly states otherwise, Structivance does not guarantee uninterrupted, error-free, or continuously available service.
Customer Responsibility and Independent Judgment
You are responsible for determining whether Structivance is appropriate for your intended use and for reviewing all results before relying on them.
Structivance does not provide investment, legal, tax, accounting, regulatory, or other professional advice. Results are not a substitute for independent professional judgment, required review, or legally mandated decision-making procedures.
You remain responsible for your decisions, instructions, submitted information, regulatory obligations, and use of any results.
Ownership and Confidential Materials
Structivance and its licensors retain all rights, title, and interest in the Structivance name, branding, software, protected systems, documentation, methods, designs, interfaces, and related intellectual property.
Access does not transfer ownership or grant any license except the limited, revocable right to use approved services within the scope of written authorization.
Nonpublic documentation, credentials, technical information, compatibility materials, and access details must be treated as confidential and may not be disclosed except as authorized in writing.
Disclaimers
To the maximum extent permitted by applicable law, public pages, discovery, compatibility verification, documentation, and approved services are provided on an as-available basis.
Except for commitments expressly stated in a signed agreement, Structivance disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, availability, and compatibility.
Structivance does not warrant that results will be complete, error-free, suitable for every purpose, or produce a particular financial, operational, regulatory, or business outcome.
Limitation of Liability
To the maximum extent permitted by applicable law, Structivance will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data.
Any limitations, exclusions, or liability caps stated in a separate signed agreement will control for the applicable approved service.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
Suspension and Termination
Structivance may suspend or terminate access for unauthorized use, credential compromise, nonpayment, insufficient credits, security risk, violation of these Terms, legal requirements, or protection of systems and customers.
Upon termination, authorization to access protected services ends immediately. Provisions concerning ownership, confidentiality, restrictions, disclaimers, liability, and other terms intended to survive will remain effective.
Changes to These Terms
Structivance may update these Terms when services, practices, security requirements, or legal obligations change. The effective date displayed at the top identifies the current published version.
Continued use after updated Terms become effective constitutes acceptance of the updated Terms, except where a separate signed agreement provides otherwise.
General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will remain effective to the maximum extent permitted by law.
A failure to enforce any provision does not waive the right to enforce it later. You may not assign or transfer your rights or obligations without prior written approval from Structivance.
These Terms, together with applicable written agreements and policies, constitute the agreement governing the matters addressed here.
